Wholesale Terms and Conditions

1. Definitions

• Supplier refers to Natural Sun Co ABN 54267376300
• Retailer refers to the business purchasing products for resale
• Products refers to the organic mineral sunscreen products supplied
• TGA refers to the Therapeutic Goods Administration

2. Order Requirements

2.1 Minimum Order

• First-time minimum order: 24 Units (2 Boxes)
• Subsequent minimum order: 12 units (1 box)
• All prices are exclusive of GST

2.2 Order Process

• Orders must be submitted in writing via email or through our wholesale portal
• Orders are subject to acceptance and product availability
• Purchase Orders must include: Business name and ABN, Delivery address, Product codes and quantities, Preferred delivery date

3. Pricing and Payment

3.1 Payment Terms

• First order: Payment required prior to dispatch
• Subsequent orders: 30-day payment terms available for approved accounts
• All prices are quoted in Australian Dollars
• Late payments will incur a 2% monthly fee on outstanding amounts

3.2 Price Changes

• Prices are subject to change with 30 days written notice
• Confirmed orders will be honored at the price quoted at time of order

4. Delivery and Shipping

• Standard shipping rates apply for all orders
• Risk passes to Retailer upon delivery
• Claims for damaged goods must be made within 48 hours of delivery

5. Product Requirements

5.1 Storage and Handling

• Products must be stored in a cool, dry place below 25°C
• Products must not be exposed to direct sunlight
• Retailer must maintain appropriate storage conditions to preserve product integrity

5.2 TGA Compliance

• Products must be sold in their original packaging
• All TGA guidelines regarding sunscreen retail must be followed
• Retailer must not make therapeutic claims beyond those approved by TGA

6. Resale Conditions

6.1 Pricing Guidelines

• Recommended Retail Price (RRP) must be observed $29 per bottle
• Maximum discount: 20% off RRP without prior written consent
• Online sales must maintain price parity with brick-and-mortar stores

6.2 Sales Channels

• Products may only be sold through approved retail locations
• Online sales restricted to Retailer's own website unless authorized
• Marketplace listings (e.g., Amazon, eBay) require prior written approval

7. Intellectual Property

• All trademarks, logos, and marketing materials remain property of the Supplier
• Usage of brand assets must comply with provided brand guidelines
• Unauthorized modification of product images or descriptions is prohibited

8. Product Returns

8.1 Faulty Products

• Faulty products will be replaced or credited upon return
• Return shipping for faulty products will be covered by Supplier
• Proof of fault must be provided via photos or returned product

8.2 Non-Faulty Returns

• Returns accepted within 14 days of delivery
• Products must be in original condition and packaging
• Restocking fee of 15% applies to non-faulty returns
• Return shipping costs borne by Retailer

9. Territory Restrictions

• Products may only be sold within Australia
• Export of products requires written authorization
• Parallel importing is strictly prohibited

10. Term and Termination

• Agreement may be terminated with 30 days written notice
• Immediate termination for breach of terms
• Outstanding payments must be settled upon termination
• Return of marketing materials may be required

11. Warranties and Liability

• Products warranted to comply with Australian Consumer Law
• Supplier's liability limited to replacement or refund of products
• Retailer must maintain appropriate insurance coverage

12. Confidentiality

• Pricing and terms are confidential
• Sharing of wholesale information with third parties prohibited

13. Amendments

• Terms may be amended with 30 days written notice
• Continued ordering constitutes acceptance of updated terms

14. Governing Law

• These terms are governed by the laws of Australia and the state/territory where the Supplier's principal place of business is located.
